Terms of Service

Introduction
These Terms of Service (“Terms”) govern access to and use of theMeasure-Based Care platform (“MBC,” “Service,” or “Platform”) operated by Neo HealthTech LLC dba measurebasedcare.com (“we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms, including the HIPAA Business Associate Agreement incorporated by reference (see Business Associate Agreement).
If you are using MBC on behalf of a practice or organization, you represent that you have authority to bind that organization to these Terms.
Service description
MBC is a measurement-based care platform for mental health clinicians and practices. The Service allows you to:
- Maintain a patient roster and assign clinical measures
- Send patients secure links to complete assessments
- Schedule recurring measure protocols and reminders
- View scored results, trends, and practice-level analytics
- Customize branding on patient-facing forms where supported
Patients complete measures through one-time links and do not receive MBC user accounts.
Eligibility and permitted use
The Service is intended for licensed or supervised mental health professionals and their authorized staff in the United States, and for adult patients invited by those clinicians.
You agree to:
- Provide accurate registration and practice information
- Use MBC only for lawful clinical and administrative purposes
- Obtain appropriate patient authorization before sending measures
- Not misuse patient links, attempt unauthorized access, or interfere with the Service
- Comply with applicable professional, ethical, and legal obligations
Privacy
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms by reference.
If you are a HIPAA-covered entity or business associate, use of PHI through MBC is also subject to our Business Associate Agreement (or equivalent data-protection terms), which is incorporated by reference when you accept these Terms or execute a BAA with us.
Patient check-ins and consent
You are responsible for determining when and which measures are clinically appropriate for your patients and for obtaining any patient authorizations required under your policies and applicable law. MBC uses generic patient email wording (no clinical instrument names in subject lines) to reduce inadvertent disclosure in shared inboxes.
MBC is adding in-product patient consent screens and explicit decline flows. Until those are available in your workflow, patients may ignore invite emails to decline without submitting data. When permanent-decline flows are live, declining will suppress reminders for that invite and notify you; a casual “Not now” deferral will not trigger notification.
Measure instruments may be subject to third-party licensing or attribution requirements. You are responsible for ensuring your use complies with applicable instrument licenses.
MBC forms are not monitored in real time and are not emergency services. You remain responsible for your own clinical safety planning and follow-up.
Accounts and security
You are responsible for safeguarding login credentials and for activity under your account. Notify us promptly at support@measurebasedcare.com if you suspect unauthorized access.
We may suspend or terminate access if we reasonably believe these Terms have been violated or the Service is being used in a manner that creates risk to patients, clinicians, or the Platform.
Intellectual property
We retain all rights in the Platform, software, documentation, and branding, except for content you provide. You retain rights in your patient data and practice content you upload. You grant us a limited license to host and process your content solely to provide the Service.
Clinical measure definitions may include third-party copyrights or trademarks. MBC displays attribution text where required; you must not remove or misrepresent instrument attribution shown to patients.
Disclaimers
Clinical tool, not medical advice: MBC provides software to administer and score standardized measures. It does not provide medical advice, diagnosis, or treatment. Scores and analytics are decision-support tools. You exercise independent clinical judgment.
No emergency services: The Service is not a substitute for 988, 911, or in-person emergency care.
Availability: We strive for reliable uptime but do not guarantee uninterrupted access. Maintenance, updates, or force majeure may cause temporary unavailability.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS ($100) IF YOU HAVE NOT PAID FEES, WHICHEVER IS GREATER, EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW.
Indemnification
You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your patient relationships, your violation of these Terms, or your violation of applicable law, except to the extent caused by our gross negligence or willful misconduct.
Modifications
We may modify these Terms from time to time. We will post updated Terms on this page and update the “Last updated” date. Material changes may be communicated to account holders by email or in-product notice. Continued use after changes become effective constitutes acceptance of the revised Terms.
Termination
You may stop using the Service at any time. We may suspend or terminate your access with notice where practicable, or immediately for material breach or security risk. Provisions that by their nature should survive termination (including privacy, disclaimers, limitation of liability, and indemnification) will survive.
Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies to health information practices.
